1. Acceptance of Terms
By accessing www.techgofers.com (“Platform”) or utilizing TechGofers IT Support Inc. (“TechGofers”, “we”, “our”) services, you (“Client”, “User”) acknowledge acceptance of these Terms & Conditions. Discontinue use if you disagree with any provision.
We may revise these terms periodically. Continued use after modifications indicates acceptance of updated terms. Review this document regularly for changes.
2. Scope of Services
Authorized Activities:
- Access technical documentation and knowledge base
- Submit support tickets and service requests
- Download authorized software tools and patches
- Participate in client forums and technical discussions
- Review service status and account information
Prohibited Conduct:
- Attempting unauthorized system access or penetration testing
- Reverse engineering our proprietary tools or methodologies
- Distributing malware, exploits, or harmful code
- Harvesting user data for unauthorized purposes
- Circumventing security measures or authentication
- Misrepresenting your identity or authorization level
3. Account Security
Your Responsibilities:
- Maintain confidential credentials
- Report compromised accounts immediately
- Ensure accuracy of registration information
- Prevent unauthorized account sharing
- Accept liability for all account activity
We may suspend accounts showing suspicious activity or policy violations without prior notice.
4. Intellectual Property
Our Property:
- Custom scripts, automation tools, and utilities
- Documentation, training materials, and methodologies
- TechGofers branding and service marks
- Platform design and functionality
Your Property:
- Pre-existing business data and systems
- Client-specific configurations (unless based on our templates)
- Your corporate branding and content
Neither party gains rights to the other’s intellectual property except as explicitly licensed.
5. Content & Communications
Forum/Ticket Guidelines:
- Technical discussions must remain professional
- No disclosure of third-party confidential information
- Avoid inflammatory, discriminatory, or illegal content
- We may remove inappropriate content without notice
Submission Rights: Any feedback, suggestions, or ideas submitted become our property without compensation obligation.
6. Privacy & Data Handling
Our Privacy Policy governs data collection and usage. Key points:
- We collect minimal necessary information
- Technical logs retained for security/troubleshooting
- No sale of client information to third parties
- Compliance with applicable data protection laws
7. Service Warranties & Disclaimers
We Provide:
- Commercially reasonable efforts to deliver quality services
- Industry-standard security practices
- Professional technical expertise
We DON’T Guarantee:
- Uninterrupted service availability
- Compatibility with all systems/software
- Prevention of all security incidents
- Third-party product performance
ALL SERVICES PROVIDED “AS-IS” WHERE LEGALLY PERMISSIBLE. WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE.
8. Liability Limitations
Maximum Liability: Our total liability cannot exceed fees paid in the preceding six (6) months for the specific service causing damage.
Excluded Damages: We’re not liable for:
- Lost profits or revenue
- Data loss (maintain your backups!)
- Consequential or punitive damages
- Third-party claims
- Force majeure events
Your Indemnification: You’ll defend us against claims arising from:
- Your violation of these terms
- Misuse of our services
- Your content or data
- Violation of laws or third-party rights
9. Termination
Either party may terminate:
- For convenience: 30 days written notice
- For breach: Immediately upon material violation
Upon termination:
- Outstanding fees become due
- Access credentials revoked
- Client data returned per data retention policy
- Confidentiality obligations survive
10. Dispute Resolution
Resolution Process:
- Direct negotiation (30 days)
- Mediation in San Francisco CA
- Binding arbitration (AAA Commercial Rules)
Legal Framework:
- Governed by California law
- Venue: San Francisco courts
- One-year limitation period for claims
- Prevailing party recovers reasonable legal fees
11. General Provisions
Compliance: Users must comply with all applicable laws, including export controls and data protection regulations.
Severability: Invalid provisions will be modified to achieve original intent; remainder stays effective.
Assignment: We may assign rights during merger/acquisition. You need written consent to assign.
